This document sets out the legal obligations and responsibilities between BPO Corporate Solutions Pvt Ltd and its Clients regarding the use of its services and website.

1. Agreement to Terms
These Terms and Conditions (“Terms”) govern your use of the website located at www.bpo.lk (the “Website”) and all professional services provided by BPO Corporate Solutions (Pvt) Ltd (referred to as “BPO Corporate Solutions”, “we”, “us”, or “our”), a company duly incorporated under the laws of Sri Lanka. By accessing our Website or engaging our services, you agree to be bound by these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the Website and our Services.
2. Services Offered
BPO Corporate Solutions provides Business Process Outsourcing (BPO) services, primarily focused on, but not limited to:
- Business Formation and Registration (including Company Secretarial Services).
- Accounting, Bookkeeping, Auditing, and Payroll Management.
- Taxation and Regulatory Compliance Consultation (including VAT and Income Tax).
- Trademark Registration.
The specific scope of work for each engagement will be detailed in a separate, formal Service Agreement or Letter of Engagement between BPO Corporate Solutions and the Client.
3. Client Obligations
3.1. Accuracy of Information:
The Client is solely responsible for providing complete, accurate, and timely information, documentation, and data required for us to perform the Services (e.g., financial records, NIC/Passport details, business information).
3.2. Reliance on Data:
You acknowledge that our ability to deliver the Services, including ensuring compliance with regulatory bodies like the Registrar of Companies (ROC) and the Inland Revenue Department (IRD) of Sri Lanka, depends entirely on the accuracy and completeness of the information you provide. We shall not be held liable for any penalties, delays, or issues arising from inaccurate, misleading, or incomplete information provided by the Client.
3.3. Timely Payments:
You agree to pay all fees and charges associated with our Services as per the agreed-upon payment schedule in your Service Agreement. Failure to make timely payments may result in the suspension or termination of services.
4. Professional Advice Disclaimer
4.1. No Legal or Financial Guarantee:
While our services are provided by qualified professionals, any advice, consultation, or information provided by BPO Corporate Solutions is based on the data and facts presented by the Client and is accurate to the best of our knowledge at that time. It does not constitute a guarantee of any specific outcome (e.g., tax savings, successful audit clearance).
4.2. Consultation Not Representation:
The use of our Website or an initial consultation does not automatically create an accountant-client, advisor-client, or privileged relationship. Such a relationship is established only upon the execution of a formal Service Agreement.
5. Intellectual Property Rights
All content on the Website, including text, graphics, logos, and service marks, are the property of BPO Corporate Solutions (Pvt) Ltd and are protected by applicable intellectual property laws. You may not reproduce, distribute, or otherwise use any content without our express written permission.
6. Limitation of Liability
To the maximum extent permitted by applicable law, BPO Corporate Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of (or inability to access or use) the Website or Services.
- Any unauthorized access to or use of our servers and/or any personal information stored therein, unless due to gross negligence or willful misconduct on our part.
7. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of Sri Lanka. Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be settled by mutual negotiation. If a resolution cannot be reached, the parties agree to submit to the exclusive jurisdiction of the courts located in Colombo, Sri Lanka.
